1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "User") and Goins Digital LLC ("Goins Digital," "we," "us," or "our") governing your access to and use of our website and products, including Truckers Shield, Fleet Shield, Shippers Report, TJ Learn, Bull City Pulse, Eli Grooming OS, Think Local and related local-business marketing services, Ann, and the goins.digital website (collectively, the "Services").

By accessing or using any Service, you agree to be bound by these Terms. If you do not agree, do not use the Services. If you are using the Services on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Goins Digital provides software, web development, and business intelligence tools, including financial operating systems for owner-operators and fleets (Truckers Shield, Fleet Shield), a crowdsourced facility intelligence platform (Shippers Report), an education platform (TJ Learn), civic/business intelligence tools (Bull City Pulse), a financial operating system for grooming businesses (Eli Grooming OS), local business marketing services (Think Local), and an AI assistant (Ann).

Not all Services are available to all users, and features may be added, modified, or discontinued at our discretion.

3. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into contracts to use the Services. If registering on behalf of a business, you must be authorized to act for that business.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at handshake@goins.digital if you suspect unauthorized use of your account.

4. Subscriptions, Fees, and Billing

  • Certain Services are offered on a subscription basis, with fees as described at the time of signup (including any applicable "founding rate" or promotional pricing, which is specific to the terms under which it was offered and may not apply to renewals or new signups after a stated period).
  • Payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
  • Local business marketing services (Think Local and related offerings): pricing, included deliverables (e.g., number of posts, revision rounds), and any rate adjustments are as agreed directly between you and Goins Digital, which may be documented via invoice, written agreement, or the terms presented to you at signup. Absent a separate signed agreement, the terms presented to you at the time of purchase control.
  • Refunds, where applicable, are governed by the refund policy published for the applicable Service (for example, https://truckersshield.xyz/refund for Truckers Shield subscriptions).
  • You are responsible for any taxes associated with your purchase, excluding taxes on our net income.
  • We may change pricing prospectively with reasonable notice; continued use after a price change takes effect constitutes acceptance of the new pricing for subsequent billing cycles.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable regulation (including trucking industry regulations, where relevant);
  • Upload or submit false, fraudulent, or misleading financial, load, or settlement data with intent to deceive;
  • Attempt to gain unauthorized access to any part of the Services, other users' accounts, or our systems;
  • Interfere with or disrupt the integrity or performance of the Services (including attempting to abuse or overload AI-powered features such as Ann or the Think Local demo);
  • Reverse engineer, decompile, or attempt to extract the source code of the Services, except where permitted by law;
  • Use automated means (bots, scrapers) to access the Services without our prior written consent;
  • Use the Services to transmit any material that infringes the intellectual property rights of others.

We reserve the right to suspend or terminate accounts that violate this section.

6. Financial Data and Calculations — Important Disclaimer

Truckers Shield, Fleet Shield, and Eli Grooming OS provide financial calculations, load economics ("verdicts"), settlement audits, dispute letter drafts, tax liability estimates, and related outputs based on the data you provide.

These outputs are informational tools, not professional financial, accounting, tax, or legal advice. You are solely responsible for independently verifying all figures, calculations, and conclusions before relying on them for business decisions, tax filings, or disputes with brokers, shippers, or carriers. Goins Digital does not guarantee the accuracy of any calculation, and errors may occur due to data entry, third-party data feeds (ELD, fuel cards), or software limitations. We strongly recommend consulting a qualified accountant, tax professional, or attorney for decisions with material financial or legal consequences.

7. AI-Generated Content Disclaimer

Certain features (Ann, Think Local's live demo, AI-assisted document parsing) use third-party AI models to generate content, summaries, or responses.

AI-generated content may be inaccurate, incomplete, or unsuitable for direct use without your review. Sample content generated through Think Local (including sample social media captions, flyer concepts, and illustrative performance reports) is provided for demonstration purposes and does not constitute a guarantee of actual marketing results, engagement, or business outcomes. You are responsible for reviewing and editing any AI-generated content before publishing or relying on it, including for factual accuracy, brand appropriateness, and compliance with any applicable advertising regulations.

8. Third-Party Integrations

Where you connect a third-party service (ELD provider, fuel card provider, social media account, Google Business Profile, or similar) to your Goins Digital account, you represent that you are authorized to grant us access to that account for the purposes described at the time of connection. We are not responsible for the availability, accuracy, or security practices of third-party services, and any interruption or change in a third-party service's API or terms may affect the functionality of related features within our Services.

9. Intellectual Property

The Services, including all software, design, content, and trademarks (including "Truckers Shield," "Fleet Shield," "Shippers Report," "Goins Digital," and related names/logos), are owned by Goins Digital LLC or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for their intended purpose during your subscription term. You retain ownership of the business, financial, and content data you submit to the Services ("Your Data"), and grant us a license to use Your Data solely as necessary to provide and improve the Services to you.

10. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

To the maximum extent permitted by law, Goins Digital LLC and its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of (or inability to use) the Services, even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability arising out of or relating to these Terms or the Services exceed the amount you paid to Goins Digital in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Goins Digital LLC and its owners, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) data you submit to the Services, including false or fraudulent business or financial data.

12. Termination

You may cancel your subscription or stop using the Services at any time. We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive conduct, or if required to comply with legal obligations. Upon termination, your right to use the Services ceases immediately; certain provisions of these Terms (including Sections 6, 7, 9, 10, 11, and 13) survive termination.

13. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of laws principles, and without regard to the United Nations Convention on Contracts for the International Sale of Goods.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state and federal courts located in Durham County, North Carolina, and you consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will update the "Last Updated" date above and, where appropriate, provide additional notice (such as an email or in-app notification). Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy and any product-specific agreement you have signed, constitute the entire agreement between you and Goins Digital regarding the Services.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
  • No Waiver: Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
  • Assignment: You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
